Incorporation!
We can assist you with establishing an Alberta Corporation. This includes preparing the paperwork, filing documents with the appropriate government agency, and providing you with the necessary minute books needed to maintain your new company. We can not provide legal advice on how the company should be structured, but this is usually not a problem for small one or two person companies. We can refer you to a lawyer if your needs go beyond what we can provide you as a Paralegal. DECISION 1 - Numbered or Named Company
You must decide if you are going to form a numbered company or a named company. A numbered company will look something like 1234567 Alberta Ltd. You DO NOT require a NUANS Report for this type of company. The number is assigned automaticlly by the system at the time of registration.
If you want the company to have a specific name then you must purchase a NUANS Report to insure the name you want to use is available. You can purchase a NUANS Report by clicking the button below. If there is a conflict we will contact you before running the report. It is possible that some conflicts may not show during the pre-search and you may have to purchase a second report. This is a rare occurance. A NUANS Report is valid for 90 days from date of issue. The cost of a NUANS Report is $34.95 including GST.
DECISION 2 - Incorporation Packages
We offer two packages of forms. You will require forms for either a numbered or a named company.
PACKAGE 1 - Includes all the forms required to set up a basic corporation. This package contains only one class of shares. This package is suitable for a small one or two person company with little or no chance of adding other partners or seeking outside investors. Your new company can be upgraded in the future, but it will cost considerably more than making the choice now. Our basic forms package is $53.50 including GST.
PACKAGE 2 - Includes all the forms required to set up an advanced corporation. This package contains a comprehensive share struture with common voting, common non-voting, preferred, preferred non-voting, and CRA Section 85 rollover shares. This package should be purchased by anyone whose business will be handed down to children in the future or may have non-family shareholders. You may also need this share struture if you have any shareholders or investors who are not actively involved in running the company. Our deluxe forms package is $107.00 including GST.
DECISION 3 - Minute Book
A minute book is a legal requirement for your company. it contains all the information regarding how your company is strutured and who owns what within the company. Our minute book comes fully completed. Included is the very important Bylaw 1 which allows you to make decisions and operate the company. Some banks require you to produce the minute book before they will set up a bank account. Our minute book costs $53.50 including GST.
DECISION 4 - Company Registration Fees
The price includes our services to physiclly register your company with Alberta Corporate Registry. If you have prepared your own registration documents you can email them to us and we will set up your company for this fee even if you do not purchase any other packages from us. This fee is fairly standard across the province. Our fee for this service is $240.00 including GST.
